2.3 Service Modifications

We may modify, suspend, or discontinue any aspect of the Services at any time, including:

  • Changing content availability
  • Updating pricing (with notice to existing subscribers)
  • Restructuring subscription tiers

We will provide reasonable notice for material changes that affect your subscription.

3. Subscription and Payment Terms

3.1 Subscription Plans

3.2 Payment Processing

All payments are processed securely through Stripe (stripe.com). By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy.

We accept major credit cards, debit cards, and other payment methods supported by Stripe.

3.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate.

To avoid being charged for the next billing period, you must cancel at least 24 hours before your renewal date.

3.4 Cancellation Policy

You may cancel your subscription at any time:

  • Through the customer portal (accessible from your account settings)

Upon cancellation:

  • Your subscription will remain active until the end of your current billing period

  • Refund requests made more than 7 days before an event may be honored
  • No refunds are provided for no-shows or cancellations less than 48 hours before the event
  • If we cancel an event, you will receive a full refund

  • We will provide at least 30 days' notice before price changes take effect
  • You may cancel before the new price takes effect
  • Continued use after the price change constitutes acceptance

4. Content and Intellectual Property

4.1 Our Content

All content on ecom.live, including but not limited to videos, articles, graphics, logos, course materials, software, and design elements, is owned by ecom.live or our licensors and is protected by copyright, trademark, and other intellectual property laws.

4.2 Your License to Use Our Content

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and view content included in your subscription tier
  • Download materials explicitly marked as downloadable
  • Use content for your personal, non-commercial learning

4.3 Restrictions

You may NOT:

  • Copy, reproduce, distribute, or publicly display our content without permission
  • Record, screen-capture, or otherwise duplicate video content

4.4 User-Generated Content

  • Represent that you have the right to grant this license
  • Agree that we may remove content that violates these Terms

4.5 DMCA and Copyright Infringement

  • Not spam, self-promote excessively, or share affiliate links without permission
  • Not share confidential content from paid areas in public channels

5.2 Prohibited Conduct

You agree not to:

  • Post discriminatory, hateful, or offensive content
  • Share illegal, fraudulent, or harmful content
  • Impersonate others or misrepresent your identity

5.3 Consequences of Violations

6.1 Event Access

Event tickets grant you access to specific live or recorded events. Access terms depend on the event type:

6.2 Event Content

Event content is subject to the same intellectual property protections as other content. Recording, redistributing, or sharing event content is strictly prohibited.

6.3 Discord Integration

Some events provide Discord role access for exclusive channels. This access:

  • Requires linking your Discord account
  • May be revoked if your ticket is refunded or expires
  • Is subject to community guidelines

6.4 Event Cancellations

If we cancel an event:

  • Registered attendees will be notified via email
  • Full refunds will be provided for paid events
  • We are not liable for any other costs (travel, accommodation, etc.)

7. Disclaimers

7.1 "As Is" Provision

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7.2 No Guarantees

We do not guarantee that:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECOM.LIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Loss of business opportunities
  • Personal injury (except where caused by our negligence)
  • Any other intangible losses

8.2 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF:

  • The amount you paid to us in the twelve (12) months preceding the claim, OR

You waive any right to participate in a class action lawsuit or class-wide arbitration.

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and ecom.live regarding the Services.

11.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.

11.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

11.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or government actions.

13. SMS/Text Messaging Terms

13.1 ecom.live SMS Program

ecom.live offers an SMS messaging program to provide you with important updates, notifications, event reminders, and educational content related to your membership and our e-commerce learning platform.

13.2 Program Description

By opting into our SMS program, you consent to receive text messages including but not limited to:

  • Account notifications and security alerts
  • Event reminders and registration confirmations
  • Educational content and course updates
  • Community announcements and special offers
  • Subscription and payment notifications
  • Customer support messages

13.3 Opt-In and Consent

By providing your mobile phone number and opting into SMS notifications, you expressly consent to receive recurring automated marketing and transactional text messages from ecom.live at the phone number provided. Consent is not a condition of purchase.

13.4 Opt-Out Instructions

You can cancel the SMS service at any time. Just text "STOP" to the short code or phone number from which you received messages. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

13.6 Message Frequency

Message frequency varies depending on your account activity and preferences. You may receive up to 10 messages per month for general updates, plus additional messages related to events you register for or time-sensitive account notifications.

13.7 Message and Data Rates

As always, message and data rates may apply for any messages sent to you from us and to us from you. Standard messaging rates from your mobile carrier will apply. If you have any questions about your text plan or data plan, please contact your wireless provider.

13.8 Carrier Liability

Carriers are not liable for delayed or undelivered messages.

13.9 Supported Carriers

Our SMS program is available on all major U.S. mobile carriers including AT&T, T-Mobile, Verizon, Sprint, and others. Check with your carrier for availability.

13.10 Mobile Terms and Privacy

13.11 Device and Network Requirements

You are responsible for:

  • Maintaining a compatible mobile device
  • Ensuring adequate network connectivity
